These Terms of Service ("Terms") govern your access to and use of the Sip N Color Collective website, online store, events, products, memberships, content, features, tools, and related services (collectively, the "Services").

The terms "Sip N Color Collective," "Sip N Color," "we," "us," and "our" refer to Grant Group Capital Corp DBA Sip N Color Collective.

Grant Group Capital Corp DBA Sip N Color Collective operates the Sip N Color Collective store and website. The Services are powered by Shopify, which provides the technology that enables us to operate our online store and provide certain Services to you.

These Terms, together with our Privacy Policy, Return and Refund Policy, Purchase Options Cancellation Policy, Shipping Policy, and any other policies referenced on our website, describe your rights and responsibilities when using our Services.

Please read these Terms carefully. They include important information concerning your legal rights, purchases, memberships, events, intellectual property, disclaimers, and limitations of liability.

By visiting, interacting with, purchasing from, registering with, or otherwise using our Services, you agree to be bound by these Terms and our applicable policies. If you do not agree to these Terms or our Privacy Policy, you should not access or use our Services.

If you create an account or provide information to us, you agree that all information you provide is accurate, current, and complete and that you will update your information when necessary.

You are responsible for maintaining the security of your account credentials and for activity occurring through your account.

You may not sell, transfer, assign, or otherwise provide your account to another person without our prior written permission.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently, unlawfully, or in a manner that could harm our Services, our customers, our partners, or our business.

SECTION 2 - OUR PRODUCTS AND SERVICES

We make reasonable efforts to accurately describe and display our products, Events, Memberships, and other Services.

Colors, images, dimensions, appearance, and other visual characteristics of physical products may vary depending on your device, screen, settings, lighting, manufacturing processes, and other factors.

Product and Service descriptions are subject to change.

We reserve the right to discontinue products or Services, modify offerings, limit quantities, or restrict availability to particular individuals, geographic regions, or jurisdictions.

Nothing on our website constitutes a guarantee that a particular product, Event, Membership, or Service will always be available.

SECTION 3 - ORDERS AND PURCHASES

When you place an order, you are submitting a request to purchase the applicable product or Service.

Grant Group Capital Corp DBA Sip N Color Collective reserves the right to accept, decline, limit, or cancel an order for reasons including, but not limited to, product availability, pricing errors, inaccurate information, payment issues, suspected fraud, or other legitimate business reasons.

Your order is not considered accepted until we process the order and provide an applicable confirmation.

Please review your order carefully before submitting it.

Returns and refunds are governed by our Return and Refund Policy.

Event tickets, Memberships, subscriptions, digital products, and physical products may have different cancellation and refund terms. The applicable terms may be provided on the applicable product, Event, Membership, or checkout page.

Unless otherwise stated, purchases are intended for personal use and not for unauthorized commercial resale or redistribution.

SECTION 4 - PRICES, PAYMENTS, AND BILLING

Prices, discounts, promotions, and other offers may change without notice.

The price charged for a product or Service will generally be the price displayed at the time the order is submitted, subject to applicable taxes, shipping charges, processing fees, or other charges disclosed during checkout.

You agree to provide current, complete, and accurate billing, payment, shipping, and account information.

You represent that you are authorized to use the payment method provided.

We may use Shopify and third-party payment processors to process transactions.

If your payment method is declined, expires, or otherwise cannot be charged, you remain responsible for applicable amounts owed.

Promotions may be subject to additional terms. If the terms of a specific promotion conflict with these Terms, the promotion's specific terms will govern that promotion.

SECTION 5 - EVENTS AND EXPERIENCES

Sip N Color Collective offers coloring events, creative experiences, social gatherings, workshops, wellness experiences, tours, and other in-person or virtual experiences ("Events").

Event information may include the date, time, location, admission price, age requirements, activities, hosts, and participation requirements.

You are responsible for reviewing the applicable Event information before purchasing admission.

Event tickets are subject to the cancellation, refund, transfer, and credit terms stated in our Return and Refund Policy and/or the applicable Event listing.

Grant Group Capital Corp DBA Sip N Color Collective reserves the right to modify an Event when reasonably necessary, including its date, time, location, format, activities, hosts, or other details.

If Sip N Color Collective cancels or materially changes an Event, we will communicate available options to affected ticket holders according to the circumstances and applicable policy.

Participants are expected to follow reasonable instructions provided by Sip N Color Collective, event hosts, staff, venue personnel, and other authorized representatives.

Venue-specific rules may also apply.

Participation in an Event does not create an employment, partnership, joint venture, agency, or other business relationship between you and Sip N Color Collective.

SECTION 6 - MEMBERSHIPS AND SUBSCRIPTIONS

Sip N Color Collective may offer memberships, subscriptions, passes, and other recurring purchase options, including the Sip N Color Unlimited Monthly Pass ("Membership").

Membership pricing, benefits, eligibility, renewal frequency, and other applicable terms will be disclosed on the applicable Membership page and during checkout.

Unless otherwise stated, Memberships automatically renew according to the billing frequency selected at purchase.

By purchasing a Membership, you authorize Grant Group Capital Corp DBA Sip N Color Collective and applicable payment providers to charge the recurring Membership fee to your selected payment method.

Membership cancellation stops future renewals but does not automatically create a refund for a billing period that has already begun or been paid, except where required by applicable law or expressly provided in our policies.

Membership benefits remain available through the applicable paid Membership period unless otherwise stated.

Memberships are personal to the purchaser and may not be transferred, resold, or shared unless expressly permitted by Sip N Color Collective.

The Unlimited Monthly Pass provides access only to eligible Sip N Color Collective Events identified as qualifying Events.

Events hosted independently by third parties, licensed partners, or other organizations may be excluded unless expressly stated otherwise.

Memberships do not guarantee admission to an Event if the Event is sold out or otherwise subject to capacity limitations. Advance registration may be required.

SECTION 7 - SHIPPING AND DELIVERY

Physical products will be shipped to the address provided during checkout.

Shipping and delivery times are estimates and are not guaranteed unless expressly stated otherwise.

We are not responsible for delays caused by shipping carriers, weather, customs, government actions, transportation disruptions, incorrect addresses, or circumstances outside our reasonable control.

You are responsible for providing an accurate shipping address.

Once an order has been transferred to the applicable carrier, shipping and delivery may be subject to the carrier's policies and procedures.

SECTION 8 - DIGITAL PRODUCTS AND DOWNLOADS

Sip N Color Collective may offer digital coloring pages, downloadable artwork, digital products, educational materials, and other digital content.

Digital products are licensed to you for personal, non-commercial use unless expressly stated otherwise.

You may not reproduce, redistribute, resell, sublicense, publicly distribute, upload, commercially exploit, or otherwise use our digital products beyond the rights expressly granted to you.

Digital products may be non-refundable once delivered or accessed, except where required by applicable law or expressly provided in our Return and Refund Policy.

SECTION 9 - INTELLECTUAL PROPERTY

Our Services and their contents, including but not limited to trademarks, logos, names, artwork, coloring pages, illustrations, photographs, graphics, text, videos, audio, designs, product concepts, written materials, event concepts, layouts, and other creative materials, are owned by Grant Group Capital Corp DBA Sip N Color Collective, our affiliates, licensors, or other applicable rights holders.

These materials are protected by applicable copyright, trademark, intellectual property, and other laws.

Except as expressly permitted by us in writing, you may not:

  • reproduce our content;
  • modify or create derivative works from our content;
  • redistribute or sell our content;
  • commercially exploit our content;
  • publicly display or perform our content;
  • remove copyright, trademark, or other proprietary notices;
  • use our artwork or coloring pages to create products for resale;
  • use our branding in a manner that suggests sponsorship or affiliation; or
  • otherwise use our intellectual property without permission.

Sip N Color Collective, Sip N Color, our logos, product names, service names, designs, slogans, and related branding may constitute trademarks or trade names of Grant Group Capital Corp DBA Sip N Color Collective or their respective owners.

All rights not expressly granted under these Terms are reserved.

SECTION 10 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to tools, applications, integrations, payment services, scheduling systems, ticketing platforms, analytics tools, or other third-party services.

Third-party services may operate independently from Sip N Color Collective.

We do not necessarily monitor, control, or endorse third-party services.

Your use of third-party services may be subject to the third party's own terms and privacy policies.

You use third-party services at your own risk.

SECTION 11 - THIRD-PARTY LINKS

Our Services may contain links, integrations, embedded content, or references to third-party websites and services.

We are not responsible for the content, accuracy, availability, privacy practices, security, or policies of third-party websites or services.

If you access a third-party website or service, you do so at your own risk.

Any transaction you conduct with a third party is between you and that third party unless expressly stated otherwise.

SECTION 12 - RELATIONSHIP WITH SHOPIFY

Sip N Color Collective is powered by Shopify, which provides the technology that enables us to operate our online store and provide certain Services.

Purchases and transactions made through our store are transactions between you and Grant Group Capital Corp DBA Sip N Color Collective.

Shopify is not responsible for the products, Events, Memberships, services, fulfillment, customer service, or other aspects of transactions between you and Sip N Color Collective.

Nothing in these Terms creates a partnership, agency, employment relationship, or joint venture between Sip N Color Collective and Shopify.

SECTION 13 - PRIVACY

Your use of our Services is subject to our Privacy Policy.

Our Privacy Policy describes how we collect, use, disclose, and protect personal information.

Because our Services are powered by Shopify and may use third-party applications and service providers, information submitted through our Services may be processed by Shopify and other service providers as necessary to provide, operate, secure, and improve the Services.

SECTION 14 - FEEDBACK, REVIEWS, AND USER CONTENT

If you submit, upload, post, email, or otherwise provide feedback, reviews, suggestions, ideas, photographs, testimonials, or other content to Sip N Color Collective ("Feedback"), you represent that you have the legal right to provide that content.

By submitting Feedback, you grant Grant Group Capital Corp DBA Sip N Color Collective a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, display, distribute, and otherwise use that Feedback for business, marketing, promotional, operational, and other lawful purposes.

We are not required to maintain Feedback in confidence, provide compensation for Feedback, or respond to Feedback.

You agree that your Feedback will not violate the rights of any third party or contain unlawful, defamatory, abusive, threatening, obscene, fraudulent, or malicious content.

We reserve the right to remove Feedback that we reasonably believe violates these Terms or applicable law.

SECTION 15 - EVENT PHOTOGRAPHY AND MEDIA

Photography, video, audio recording, or other media may be captured at certain Sip N Color Collective Events.

Where applicable, Event participants will be provided with notice regarding photography or recording and any applicable participation or media-consent procedures.

Sip N Color Collective will not represent that every attendee will be photographed or recorded.

If an Event has specific photography, recording, or media terms, those terms will be provided with the applicable Event information.

SECTION 16 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on our Services may contain typographical errors, inaccuracies, omissions, or outdated information relating to products, prices, promotions, availability, shipping, Events, or other matters.

We reserve the right to correct errors, update information, change or cancel orders, and modify information at any time, including after an order has been submitted, to the extent permitted by applicable law.

SECTION 17 - PROHIBITED USES

You may use our Services only for lawful purposes.

You may not use the Services:

  • for any unlawful or malicious purpose;
  • to violate applicable laws or regulations;
  • to infringe our intellectual property or the rights of others;
  • to harass, abuse, threaten, defame, or harm another person;
  • to submit false or misleading information;
  • to distribute malicious code, viruses, or harmful software;
  • to impersonate another person or entity;
  • to engage in unauthorized commercial resale or exploitation;
  • to collect personal information without authorization;
  • to spam, phish, or engage in fraudulent activity;
  • to interfere with the security or operation of the Services;
  • to circumvent access controls or technical restrictions; or
  • to engage in conduct that may harm Sip N Color Collective, Shopify, our customers, partners, or other users.

You may not use automated scraping, data-gathering, extraction, or similar technologies to access or copy our Services except where expressly authorized by these Terms, our technical controls, applicable law, or authorized Shopify functionality.

We reserve the right to suspend or terminate access when we reasonably believe these Terms have been violated.

This section applies to software, services, or other technologies that take autonomous or semi-autonomous actions on behalf of a person or organization ("Agents").

Authorized Agents may access or interact with our Services only in accordance with applicable technical requirements, Shopify functionality, these Terms, and applicable law.

Agents must:

  1. identify themselves as Agents when required by applicable technical requirements;
  2. not misrepresent automated activity as human activity;
  3. not circumvent CAPTCHA, security controls, access restrictions, or other measures designed to distinguish or regulate automated access;
  4. not conceal or obfuscate their identity or purpose;
  5. comply with applicable technical instructions and access controls; and
  6. stop accessing the Services when appropriately instructed to do so.

We may limit, restrict, suspend, or terminate Agent access at any time.

Nothing in this section grants an Agent permission to scrape, copy, reproduce, commercially exploit, or otherwise use our content or intellectual property beyond the permissions expressly granted.

Authorized AI and agentic shopping functionality provided through Shopify or other approved channels may interact with our Services in accordance with applicable terms and technical requirements.

SECTION 19 - TERMINATION

We may suspend or terminate your access to our Services if we reasonably believe that you have violated these Terms, engaged in fraudulent or unlawful conduct, abused our Services, or created a risk to our business, customers, partners, or systems.

Termination does not eliminate obligations or liabilities that arose before termination.

Sections concerning intellectual property, Feedback, privacy, disclaimers, limitations of liability, indemnification, governing law, and other provisions that by their nature should survive termination will remain in effect.

To the fullest extent permitted by applicable law, our Services and information provided through them are provided on an "as is" and "as available" basis.

We do not guarantee that our Services will always be available, uninterrupted, secure, timely, accurate, complete, or error-free.

We do not guarantee that any product, Event, Membership, or Service will meet your individual expectations unless expressly stated.

To the fullest extent permitted by applicable law, we disclaim warranties and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, durability, and non-infringement.

Nothing in these Terms is intended to exclude rights or warranties that cannot legally be excluded under applicable law.

SECTION 21 - LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Grant Group Capital Corp DBA Sip N Color Collective and its affiliates, officers, directors, employees, contractors, agents, partners, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, savings, data, goodwill, or business opportunities arising from or related to your use of the Services or your purchase or use of products or Services.

This limitation applies to claims arising under contract, tort, negligence, strict liability, or other legal theories, to the extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

SECTION 22 - INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Grant Group Capital Corp DBA Sip N Color Collective, its affiliates, officers, directors, employees, contractors, agents, licensors, partners, and service providers from claims, damages, liabilities, losses, costs, and reasonable expenses arising from:

  1. your violation of these Terms;
  2. your violation of applicable law;
  3. your violation of the rights of another person or entity;
  4. your misuse of our Services;
  5. your unauthorized use of our intellectual property; or
  6. your Feedback or other content submitted to us.

We reserve the right to assume control of the defense of any matter subject to indemnification, in which case you agree to cooperate with us.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

These Terms, together with the policies and documents incorporated by reference, constitute the agreement between you and Grant Group Capital Corp DBA Sip N Color Collective concerning your use of the Services and supersede prior agreements or communications concerning the same subject matter.

If there is a conflict between these Terms and a specific product, Event, Membership, promotion, or other applicable policy, the more specific terms may control the applicable transaction.

SECTION 25 - ASSIGNMENT

You may not transfer, delegate, or assign your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or other business transaction.

SECTION 26 - GOVERNING LAW

These Terms and any separate agreements through which we provide Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by law, disputes arising from or relating to these Terms or the Services will be subject to the jurisdiction of the applicable state or federal courts located in Florida.

Nothing in this section limits any consumer rights or remedies that cannot legally be waived.

The headings used throughout these Terms are provided for convenience and do not limit or otherwise affect the meaning of any provision.

When required by applicable law, we will provide notice of material changes.

Your continued use of our Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
